These Terms of Use (“Terms”) govern access to and use of Pounce (also known as Pounce Field), a business lead-management and AI follow-up product provided by Rexpt Corp (“Rexpt Corp,” “we,” “us,” or “our”). By using Pounce, you agree to these Terms. If you use Pounce for an organization, you confirm that you are authorized to accept these Terms on its behalf.
1. What Pounce Does
Pounce helps businesses capture and organize leads, associate leads with events or other sources, save notes and business context, plan follow-ups, and manage communications. Depending on product availability and configuration, it may also provide AI-assisted email, SMS, outbound calls, follow-up schedules, appointment confirmations and reminders, calendar connections, and activity history.
Pounce may provide AI-generated outreach plans, custom follow-up goals, business-profile personalization, and editable outreach rules. Features, limits, supported providers, and availability may differ by account, plan, location, and product release.
2. Who May Use Pounce
You must be at least 18 years old or the age of legal majority where you live, and have legal authority to use Pounce. Pounce is intended for legitimate business use. You agree to provide accurate registration information and to keep account details reasonably up to date.
4. Leads, Business Profile, and Your Data
You may upload or enter contact details, business-card information, company information, events, notes, business-profile descriptions, products or services, communication preferences, and appointment details (collectively, “Customer Content”). You retain whatever rights you have in your Customer Content.
You permit Rexpt Corp and its service providers to host, store, process, transform, transmit, and display Customer Content as reasonably needed to operate Pounce, perform requested actions, maintain security, troubleshoot issues, and provide support under these Terms and our Privacy Policy.
You are responsible for ensuring that Customer Content is accurate, that you have the rights and appropriate legal basis to collect and upload it, and that your instructions do not infringe anyone else’s rights. Avoid entering sensitive personal information unless it is necessary, lawful, and appropriate for the service.
5. Automated Outreach, Consent, and Compliance
Pounce can assist with or automate business emails, text messages, and AI-driven calls. You are responsible for determining whether a contact may lawfully receive each communication, including obtaining legally required consent before sending promotional or automated messages or calls.
You must comply with applicable privacy, marketing, anti-spam, telemarketing, consumer-protection, and calling laws, including any restrictions concerning automated dialing, prerecorded or AI-generated voice calls, calling hours, sender identification, and do-not-contact lists. You are responsible for providing appropriate notices and honoring opt-outs, even where requests are received outside Pounce.
Pounce’s configuration settings or automated controls are aids, not a substitute for your compliance obligations. You must not use the service for spam, harassment, deceptive marketing, or unauthorized contact.
6. AI Worker and Content Accuracy
The AI Worker may recommend or generate communication plans, timing, channels, email or SMS copy, call context, summaries, and other suggestions. Results are probabilistic and may be incomplete, inaccurate, or unsuitable for an individual lead. Information generated by AI should not be treated as independently verified.
You are responsible for configuring outreach goals, cadence duration, allowed channels, contact windows, limits, approval settings, and any manual edits or pauses. Pounce may apply additional technical and safety controls. We do not guarantee that AI-generated communications will produce replies, qualified opportunities, booked meetings, attendance, or revenue.
If Pounce provides a preview, approval, or edit function, you should review important communications before they are sent. You must not instruct the AI Worker to invent facts, impersonate others unlawfully, or make unsupported claims.
7. Calls, Recording, and Transcription
If available, AI calling, recording, transcription, and call summaries may involve third-party communications providers. If you enable recording or related functionality, you are responsible for all legally required disclosures and consent. Do not use these features where prohibited.
Call completion, delivery status, summaries, and qualification outcomes may be affected by carrier conditions, provider availability, recipient behavior, or AI errors. A completed or attempted call does not guarantee that the intended person was reached or that an appointment was confirmed.
8. Appointments, Calendar Connections, and Reminders
You may connect a supported calendar to help Pounce display availability, arrange appointments, or support reminders. You are responsible for reviewing your timezone, availability, meeting details, and links. A meeting is not guaranteed merely because the AI proposes one; booking depends on successful confirmation by the relevant systems.
Connected calendars and communication services may change, disconnect, or become unavailable. We are not responsible for failures caused by third-party systems outside our reasonable control.
9. Third-Party Services
Pounce may use third-party providers for hosting, AI processing, email, SMS, voice calling, calendars, maps/places, analytics, and payments. Use of connected accounts or integrations may also be governed by the applicable provider’s terms and privacy notices. We may discontinue or change an integration where necessary for security, compatibility, legal, or business reasons.
10. Plans, Trials, Charges, and Cancellation
Certain features may be offered under a free trial, paid plan, or usage-based arrangement. Any applicable pricing, included usage, trial limits, payment requirements, billing intervals, cancellation terms, and overage charges will be presented before purchase or activation of that offer.
If an offer includes automatic renewal, recurring charges, or trial conversion, the applicable details must be disclosed at the point of enrollment. You are responsible for charges you authorize. Taxes may apply. Unless required by law or stated in the applicable plan terms, fees already paid are not refundable. You may request cancellation through the available account or support channels.
11. Acceptable Use
You agree not to:
- Send unlawful, misleading, fraudulent, abusive, harassing, or unauthorized outreach.
- Upload or use lead information without the necessary rights, notices, or permissions.
- Misrepresent a caller, sender, meeting, offer, business relationship, or product capability.
- Circumvent opt-out controls, provider restrictions, account limits, payment mechanisms, or security features.
- Attempt unauthorized access, extract non-public data, interfere with service operation, distribute malware, or misuse Pounce infrastructure.
- Use Pounce in ways that violate laws or third-party rights.
12. Ownership and Feedback
Rexpt Corp and its licensors retain all rights in Pounce, including its software, design, trademarks, documentation, and technology. These Terms provide a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. You may share suggestions or feedback with us; we may use such feedback to improve the product without an obligation to compensate you, provided we comply with applicable law.
13. Availability, Changes, and Suspension
We may update, improve, suspend, or discontinue features, integrations, or availability. We may suspend or restrict an account where reasonably necessary to address security risks, unlawful outreach, policy violations, unpaid fees, or abuse. We will provide notice where appropriate and practicable.
14. Termination and Account Deletion
You may stop using Pounce at any time. If account deletion is available in the product, you may use that option, or contact support@rxpt.us to request assistance. Ending service access does not automatically reverse communications already sent or remove information stored independently in third-party services. We may retain limited information where required or permitted by law, as explained in the Privacy Policy.
15. Disclaimers
To the maximum extent permitted by applicable law, Pounce is provided on an “as is” and “as available” basis. We disclaim warranties not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, successful message delivery, error-free AI outputs, or any particular business outcome.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Rexpt Corp and its affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost revenue, profits, opportunities, goodwill, or data; or losses arising from third-party disruptions or inaccurate AI-generated results.
To the maximum extent permitted by law, our total aggregate liability relating to Pounce and these Terms will not exceed the amount paid to Rexpt Corp for Pounce during the 12 months immediately preceding the event giving rise to the claim, subject to any non-excludable rights under applicable law.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold Rexpt Corp harmless from third-party claims, damages, liabilities, and reasonable costs arising from your Customer Content, unlawful outreach, unauthorized use of personal data, breach of these Terms, or violation of another person’s rights.
18. Governing Law, Changes, and Contact
These Terms are governed by the laws of [GOVERNING STATE/COUNTRY], excluding conflict-of-law principles, except where mandatory law provides otherwise. Courts or other dispute forums located in [VENUE] will have jurisdiction, subject to applicable law.
We may revise these Terms from time to time. We will post an updated version with a revised date and provide additional notice where required. Continued use after a legally effective update constitutes acceptance to the extent allowed by law.
